Terms of Service

These Terms of Service govern your access to and use of Agentric, including the Fundraze and 3hands products, our website, dashboard applications, APIs, and the Agentric Chrome extension. Please read them carefully. By creating an account or using Agentric, you agree to these Terms and acknowledge our Privacy Policy.

1. Who We Are and Who These Terms Apply To

In these Terms, Agentric, we, us, and our refer to the operator of the Agentric services available at agentric.co.uk and related product surfaces. You and your refer to the person using Agentric and, where you use Agentric for a company or other organization, that organization. If you accept these Terms for an organization, you confirm that you have authority to bind it.

Agentric is designed for business use by founders, startup teams, and investors. You must be at least 18 years old to use it. If you are a consumer under applicable law, nothing in these Terms affects your statutory rights.

2. The Services

Agentric provides software for startups and investors. Fundraze helps startups find investors, manage a fundraising pipeline, host and share pitches, and complete investor applications with the Chrome extension. 3hands helps investors source companies and manage pipelines, diligence, and investment memos. Features may be labelled beta or early access; these are provided to help us improve the product and may change or be withdrawn.

We may update, improve, or discontinue features from time to time. If we remove a material feature from a paid plan, we will tell you in advance where reasonably possible.

3. Accounts and Workspaces

  • You must give accurate information when you register and keep it up to date.
  • You are responsible for keeping your sign-in credentials secure and for activity under your account. Tell us promptly at tirion@agentric.co.uk if you suspect unauthorized access.
  • Workspace administrators control who can access a workspace, assign seats, and manage billing. Information in a workspace may be visible to its members.
  • Some features require an active seat or paid plan. If a seat is removed or a plan ends, those features stop working for that user or workspace.

4. Acceptable Use

You agree not to, and not to help anyone else to:

  • use Agentric for anything unlawful, fraudulent, or misleading, including distributing misleading financial or fundraising information;
  • scrape, crawl, bulk download, or systematically copy the investor database, the company database, or research content, or use automated tools to access Agentric other than through features we provide;
  • circumvent, disable, or test the limits of usage quotas, rate limits, seat requirements, access controls, or other security features;
  • resell, sublicense, publish, or build a competing database or product from Agentric data or outputs;
  • use Agentric data or outputs to train or fine-tune AI models;
  • upload malware, interfere with the service, or attempt to access accounts or data that are not yours;
  • reverse engineer the service or attempt to extract its source code, models, or system prompts, except where the law does not allow this restriction;
  • send spam or unsolicited bulk outreach through Agentric, or contact people in a way that breaks applicable marketing or data protection law;
  • record or transcribe a meeting through Agentric without telling every participant, as required by law.

We may apply usage limits to protect the service and the data in it. Limits for each plan are shown in the product.

Connected AI apps

You may connect an AI app, such as Claude or ChatGPT, to your account through Agentric's official connectors (our MCP servers and sign-in), which are features we provide. A connected app works only in the workspace and with the permissions you choose, and within your plan's limits. What it does through the connection is done on your behalf, and these Terms apply to it as if you had done it yourself. Anything that reaches another person, such as a pitch request or an answer to one, is sent only after you approve it on Agentric. You may use Agentric Data in a connected app only to work on your own fundraising or deal flow: the bans above on bulk copying, building a competing database, and using Agentric Data to train AI models apply to connected apps too. You can disconnect an app at any time from Connected agents in your account, and we may disable any app or connection to protect the service.

5. Your Content and Data

You keep all rights in the information, files, and content you or your users put into Agentric (Your Content). You give us a non-exclusive licence to host, copy, process, and display Your Content only as needed to provide, maintain, secure, support, and improve Agentric for you and to comply with law. You are responsible for having the rights and permissions needed to upload Your Content, including any personal data about investors, founders, or other people, and for how you use it.

When you share a pitch, the people you share it with may see the content you choose to share, and we record how they view it so that we can show you engagement analytics. How we handle personal data is described in our Privacy Policy.

6. Agentric Data and Research

Agentric includes investor and company information, research, and scores compiled from public sources, our own research, and AI-assisted analysis (Agentric Data). We and our licensors own Agentric Data. While you have an account, you may use Agentric Data within your plan limits for your own internal fundraising, investment, or business purposes. Agentric Data may be incomplete, out of date, or wrong, and you should verify it before relying on it.

Agentric Data includes company records derived from the BigPicture Companies dataset, made available under the Open Data Commons Attribution License, information from U.S. Securities and Exchange Commission filings, and public sector information from Companies House licensed under the Open Government Licence v3.0.

7. AI-Generated Content

Agentric uses artificial intelligence to generate content such as matches, summaries, ratings, memos, and draft application answers (Outputs). Outputs may be inaccurate or incomplete, and similar requests may produce different results. You are responsible for reviewing Outputs before you use, send, or rely on them. As between you and us, you may use Outputs generated for your workspace, subject to these Terms and the rights in any Agentric Data they contain.

Agentric does not provide investment, financial, legal, or tax advice, and does not recommend or arrange any investment. You are solely responsible for your investment and fundraising decisions.

8. Plans, Trials, and Billing

  • Free and paid plans: some products include a free plan with limited features. Paid plans are billed monthly in advance for the plan and number of seats you choose. Prices and plan limits are shown before you buy.
  • One-off purchases: one-off purchases, such as token packs, are charged when you buy them.
  • Payments: payments are processed by our payment processor. You authorize us and our processor to charge the payment method on file for fees, applicable taxes, and prorated charges when you add seats or upgrade part-way through a billing period.
  • Renewal and cancellation: paid subscriptions renew automatically each billing period until cancelled. Cancellation takes effect at the end of the current billing period, and you keep access until then.
  • Refunds: fees and one-off purchases already paid are non-refundable except where the law requires otherwise or we agree in writing.
  • Trials and complimentary access: a trial or complimentary period lasts for the time and includes the allowances stated when it starts. We do not charge you for a trial unless an administrator chooses a paid plan and agrees to its price. Where we offer complimentary access, we will give at least 30 days' notice before it changes.
  • Price changes: we will give at least 30 days' notice of a price increase for an existing paid subscription. The new price applies from your next billing period after the notice period.
  • Late payment: if a payment fails, we may suspend paid features until it is resolved.

9. Our Intellectual Property

We and our licensors own Agentric, including its software, design, brands, and Agentric Data. These Terms give you a limited, non-exclusive, non-transferable right to use Agentric while your account is active and in line with these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.

10. Confidentiality

Each party may receive non-public information from the other that is marked confidential or should reasonably be understood to be confidential, including Your Content and unpublished pitch and fundraising information. The receiving party will use it only to perform or use the services under these Terms, protect it with reasonable care, and not disclose it except to its personnel and service providers who need it and are bound by similar obligations, or where the law requires. This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or is independently developed.

11. Third-Party Services

Agentric works with third-party services such as identity providers, payment processors, video-meeting tools, investor application portals, and web browsers. Your use of those services is governed by their own terms, and we are not responsible for them.

12. Suspension and Termination

  • You can stop using Agentric at any time. You can delete your account in your account settings. You then have 30 days to restore it from the link we email you. After that, eligible account data is permanently deleted, and we keep only records we must or are permitted to retain, such as audit and finance records.
  • If you are the only administrator of a company that other people still use, you must make someone else an administrator or remove the other members before deleting your account. If you are the only member of a company with a paid plan that still renews, you must cancel that plan first.
  • We may suspend or end your access if you materially breach these Terms, fail to pay, create a security or legal risk, or if we must do so by law. Where reasonable, we will tell you first and give you a chance to fix the problem.
  • When access ends, your right to use Agentric stops. Sections that by their nature should continue, including sections 6, 7, 8 (for amounts owed), 9, 10, 13, 14, 15, and 17, continue to apply.

13. Disclaimers

We will provide Agentric with reasonable skill and care. Apart from that and to the extent the law allows, Agentric, Agentric Data, and Outputs are provided as is and as available, without any other warranties, conditions, or representations, including about accuracy, availability, or fitness for a particular purpose. We do not guarantee that Agentric will be uninterrupted or error-free, or that using it will result in any investment or fundraising outcome.

14. Limitation of Liability

  • Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.
  • Subject to that, neither party is liable for any loss of profits, revenue, business, goodwill, anticipated savings, or investment returns, or for any indirect or consequential loss, arising under or in connection with these Terms.
  • Subject to that, each party's total liability arising under or in connection with these Terms is limited to the greater of the fees you paid to us for Agentric in the 12 months before the event giving rise to the claim, and US$100. This cap does not apply to your obligation to pay fees.
  • If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breach or negligence; this section does not limit that.

15. Your Responsibility for Claims

If you use Agentric for business purposes, you will be responsible for, and will reimburse us for, losses and reasonable costs arising from a third-party claim that Your Content, or your use of Agentric in breach of these Terms, infringes that third party's rights or breaks the law.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date and give you reasonable notice, for example by email or in the product, before they take effect. If you do not agree to the changes, you may stop using Agentric and cancel your subscription before they take effect. Continuing to use Agentric after that date means you accept the updated Terms.

17. General

  • These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer living in Scotland or Northern Ireland you may also bring proceedings in your local courts.
  • Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of our business.
  • If any part of these Terms is found unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it.
  • These Terms, together with any order or plan details you accept in the product, are the entire agreement between you and us about Agentric. No one other than you and us has any right to enforce these Terms.
